1. Agreement to Terms

These Terms and Conditions ("Terms") govern your use of the website, platform, services, and tools provided by AccSeller8 (a trading name of Livecel Ltd, Company No. 09906667).

By accessing or using our website or services, you confirm that you agree to these Terms, our Privacy Policy, and Data Processing Agreement. If you do not agree, please stop using our services immediately.

2. Our Services

AccSeller8 provides AI-powered automation including:

• Inbound and outbound AI voice agents
• SMS and email automation
• CRM and contact integrations
• White-labeled dashboards and analytics

All services are strictly for business and professional use — not for consumer or personal use.

3. Data Roles & Responsibility

• You are the Data Controller of any personal data you provide.
• AccSeller8 is your Data Processor, acting only on your instructions.
• You are responsible for legal compliance in your region, including:
  • UK GDPR, PECR
  • EU GDPR, ePrivacy
  • US TCPA, CAN-SPAM
  • Canada CASL
  • Brazil LGPD
  • Singapore PDPA
  • South Africa POPIA
  • Australia Spam Act
  • Other Middle East, Africa, Asia & LATAM laws
• All third-party tools (e.g. CRMs, dialers) must comply with relevant laws.
• We use only sub-processors bound by GDPR-compliant DPAs and SCCs.

4. Client Obligations

By using our platform, you agree to:

• Upload only lawful, compliant contact data
• Screen contacts against Do-Not-Call & suppression lists
• Use AI calls, emails, SMS only where you have a valid legal basis
• Maintain and store records of consent
• Comply with all marketing and data laws in your jurisdiction
• Handle deletion and user data rights properly

5. AI Use Disclaimer

• AI-generated messages may not always be accurate
• You are responsible for reviewing AI outputs
• AccSeller8 is not liable for reputational damage, errors, or misuse

6. Legal Compliance by Region

• Ensure express opt-in where required
• Include unsubscribe/opt-out options in messaging
• Maintain consent logs and provide upon request
• Avoid using AI with users under 16 without parental consent

7. Indemnity and Liability

• You agree to indemnify AccSeller8 for misuse of the platform or breach of laws
• We are not responsible for revenue, customer, or data losses
• Liability is limited to the fullest extent permitted by law

8. Messaging Terms (A2P, Email, SMS)

• You must obtain valid consent
• Include opt-out features in messages
• No frequency abuse or misleading content
• No targeting users under 16 without verified consent
• We do not sell your data; only share with delivery subcontractors under NDA

9. Suspension & Termination

• We may suspend your account for any policy violation or legal risk
• Upon termination, you must delete all data
• You may request data within 30 days before it is deleted

10. Data Breach Notification

• We will notify you of breaches within 72 hours where required
• You are responsible for notifying your end users unless otherwise agreed

11. Intellectual Property

All content and software are the exclusive property of AccSeller8 or its licensors. You may not copy, modify, reverse engineer, or sell our IP.

12. Governing Law

These Terms are governed by the laws of England and Wales. Disputes shall be resolved via arbitration or courts of England and Wales unless otherwise required by law.

13. Changes to These Terms

We reserve the right to update these Terms. Material changes will be notified via email or your dashboard.
