AccSeller8 Terms & Conditions

1. Agreement to Terms

These Terms and Conditions ("Terms") govern your use of the website, platform, services, and tools provided by AccSeller8 (a trading name of Livecel Ltd, Company No. 09906667).

By accessing or using our website or services, you confirm that you agree to these Terms, our Privacy Policy, and Data Processing Agreement. If you do not agree, you must stop using our services immediately.

All services are strictly for business and professional use only.

2. Our Services

AccSeller8 provides AI-powered automation services including:

  • Inbound and outbound AI voice agents
  • SMS and email automation
  • CRM and contact integrations
  • White-labelled dashboards and analytics

Services are provided on a subscription basis as outlined below.

3. Subscription & Billing

3.1 Subscription Structure

All services operate on a rolling subscription basis unless otherwise agreed in writing.

Subscriptions automatically renew at the end of each billing cycle unless cancelled in accordance with these Terms.

Subscription fees are billed in advance.

3.2 Usage Charges (Prepaid Model)

Voice call usage is charged on a per-minute basis, calculated and billed per second.

Usage must be prepaid via account top-ups.

Call usage is deducted from your prepaid balance in real time.

If your prepaid balance reaches zero:

  • Services may be paused or restricted
  • Calls may stop automatically
  • Messaging functionality may be suspended

Prepaid balances are non-refundable unless required by law.

3.3 Client Cancellation

You may cancel your subscription at any time by providing written notice prior to your next billing date.

  • Cancellation takes effect at the end of the current billing cycle.
  • No partial refunds are provided for unused time within a billing period.
  • Any unused prepaid usage balance is non-refundable unless required by law.
  • All outstanding fees must be settled prior to termination.

Access to the platform will remain active until the end of the paid billing period.

4. Data Roles & Responsibility

You are the Data Controller of any personal data you provide.

AccSeller8 acts as your Data Processor and processes data only on your instructions.

You are responsible for legal compliance in your region, including but not limited to:

  • UK GDPR & PECR
  • EU GDPR & ePrivacy
  • US TCPA & CAN-SPAM
  • Canada CASL
  • Brazil LGPD
  • Singapore PDPA
  • South Africa POPIA
  • Australia Spam Act
  • UAE and other regional laws

You must ensure all third-party integrations meet applicable legal requirements.

We use GDPR-compliant sub-processors and Standard Contractual Clauses where required.

5. Client Obligations

You agree to:

  • Upload only lawful and compliant contact data
  • Screen data against Do-Not-Call and suppression lists
  • Obtain valid consent or have lawful basis for communications
  • Maintain records of consent and marketing activity
  • Provide proof of consent if requested
  • Manage deletion of unnecessary data
  • Ensure opt-out/unsubscribe functionality is active

You remain fully responsible for how the platform is used.

6. AI Use Disclaimer

AI-generated voice, SMS, or email content may not always be accurate.

  • You are responsible for supervising and reviewing AI outputs
  • AccSeller8 is not liable for AI-generated errors or miscommunications
  • AI outputs must not be relied upon without human review

7. Messaging & Telecom Compliance

When using voice, SMS, or email services, you agree to:

  • Obtain valid opt-in consent
  • Include legally required opt-out mechanisms
  • Avoid deceptive or abusive practices
  • Comply with international A2P, telecom, and messaging rules
  • Not target individuals under 16 without verified parental consent

Failure to comply may result in immediate suspension.

8. Suspension, Termination & Regulatory Action

8.1 Suspension or Termination by AccSeller8

We may suspend or terminate your account immediately and without notice if:

  • You breach these Terms
  • We detect unlawful, fraudulent, or abusive behaviour
  • Your activity creates risk to our systems, infrastructure providers, carriers, or customers
  • Suspension is required by a telecom carrier, regulatory body, or legal authority

We reserve the right to recover unpaid amounts due.

8.2 Effect of Cancellation or Termination

  • You must cease use of the platform
  • You may request a copy of your data within 30 days
  • After 30 days, data may be permanently deleted unless retention is required by law
  • Any allocated phone numbers, sender IDs, or telecom resources may be released, recycled, or reassigned
  • AccSeller8 shall not be liable for loss of revenue, customers, or opportunity arising from termination

9. Data Breach Notification

If a data breach involving your data occurs, AccSeller8 will notify you within 72 hours where required by law.

You are responsible for notifying your own customers or data subjects unless agreed otherwise.

10. Indemnity & Limitation of Liability

To the fullest extent permitted by law:

You agree to indemnify and hold harmless AccSeller8 and Livecel Ltd from any fines, penalties, legal claims, damages, or losses arising from:

  • Misuse of the platform
  • Unlawful communications
  • Regulatory breaches
  • Failure to obtain consent
  • Breach of these Terms
  • Misuse of AI-generated content

AccSeller8 shall not be liable for indirect or consequential losses including loss of revenue, business opportunity, goodwill, or regulatory penalties.

11. Intellectual Property

All software, branding, designs, and materials are the exclusive property of AccSeller8 or its licensors.

You may not copy, reverse-engineer, resell, or modify our materials without written permission.

12. Marketing & Publicity

The Client grants AccSeller8 a non-exclusive, revocable right to use the Client’s name and logo solely to identify the Client as a customer.

This does not include publishing performance data, testimonials, or case studies without prior written consent.

The Client may opt out at any time by written notice.

13. Governing Law

These Terms are governed by the laws of England and Wales.

Disputes shall be resolved in the courts of England and Wales unless otherwise required by law.

14. Changes to These Terms

We reserve the right to update these Terms at any time.

Material changes will be communicated via email or platform notice.

Continued use of the service constitutes acceptance of updated Terms.
